GROWCOD TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By installing, accessing, or using the GrowCOD application (“App”) on your Shopify store, you (“Merchant,” “You,” or “Your”) agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legal agreement between you and GrowCOD (“We,” “Us,” or “Our”).

If you do not agree to these Terms, you must not install or use the App. Your continued use of the App constitutes acceptance of these Terms.

2. DEFINITIONS

  • “App”: The GrowCOD application available on the Shopify App Store.

  • “Merchant”: The Shopify store owner who installs and uses the App.

  • “Service”: The 1-Click COD order form, upsell/downsell features, fraud prevention, and related services provided by the App.

  • “Subscription”: The paid plan selected by the Merchant.

  • “Shopify”: Shopify Inc., the e-commerce platform provider.

3. ELIGIBILITY

You must:

  • Be at least 18 years old

  • Have a valid Shopify store

  • Have authority to bind your business to these Terms

  • Provide accurate and complete registration information

4. APP DESCRIPTION

GrowCOD provides the following services:

  • 1-Click COD order forms (popup and embedded)

  • Smart upsells, downsells, and quantity offers

  • Fraud prevention and order verification

  • Integration with advertising platforms (Facebook, TikTok, Google, etc.)

  • Google Sheets synchronization

  • Analytics and reporting tools

5. SUBSCRIPTION AND PAYMENT

5.1 Subscription Plans

  • Free Trial: 14-day free trial period

  • Starter Plan: $19/month (up to 100 COD orders)

  • Pro Plan: $49/month (up to 500 COD orders)

  • Enterprise Plan: $99/month (unlimited orders)

5.2 Payment Terms

  • Payments processed through Shopify’s billing system

  • Monthly subscription, billed in advance

  • No refunds for partial months

  • Prices subject to change with 30 days’ notice

5.3 Auto-Renewal

  • Subscriptions automatically renew monthly

  • You may cancel anytime via Shopify admin

  • Cancellation effective at the end of billing period

6. MERCHANT RESPONSIBILITIES

6.1 Compliance

You agree to:

  • Comply with all applicable laws and regulations

  • Obtain necessary consents from customers

  • Protect customer data and privacy

  • Not use the App for illegal or fraudulent activities

6.2 Store Operation

You are responsible for:

  • Maintaining your Shopify store

  • Fulfilling COD orders placed through the App

  • Customer service for your orders

  • Payment processing and shipping

6.3 Prohibited Uses

You may NOT use the App to:

  • Sell illegal or restricted products

  • Engage in deceptive marketing practices

  • Violate intellectual property rights

  • Spam or harass customers

  • Circumvent Shopify’s terms

7. DATA AND PRIVACY

7.1 Data Collection

We collect:

  • Store information and settings

  • Order data (for functionality)

  • Analytics data (for improvement)

  • Integration credentials (for connectivity)

7.2 Data Usage

We use data to:

  • Provide and improve the App

  • Generate analytics and reports

  • Prevent fraud and abuse

  • Communicate with you about the App

7.3 Data Protection

We implement:

  • Encryption of sensitive data

  • Secure servers and infrastructure

  • Access controls and monitoring

  • Regular security audits

7.4 Customer Data

  • You own your customer data

  • We process data as your service provider

  • We do not sell customer data to third parties

  • Data deleted upon App uninstallation

8. INTELLECTUAL PROPERTY

8.1 Our Rights

We own:

  • The App and all related software

  • Branding, logos, and trademarks

  • Documentation and materials

  • Analytics and aggregated data

8.2 Your Rights

You retain:

  • Your store branding and content

  • Customer data and information

  • Product catalog and descriptions

8.3 License

We grant you a limited, non-exclusive, non-transferable license to use the App for your Shopify store during the subscription period.

9. LIMITATION OF LIABILITY

9.1 Disclaimer

THE APP IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE:

  • Uninterrupted or error-free service

  • Specific conversion rates or revenue

  • Compatibility with all themes or apps

  • Protection against all fraud attempts

9.2 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for indirect, incidental, or consequential damages

  • Our total liability is limited to fees paid in the last 3 months

  • We are not responsible for third-party services or integrations

9.3 Indemnification

You agree to indemnify and hold us harmless from any claims arising from:

  • Your use of the App

  • Your violation of these Terms

  • Your products or services

  • Customer disputes or chargebacks

10. TERMINATION

10.1 By You

You may terminate by:

  • Uninstalling the App from Shopify

  • Cancelling your subscription

  • EmailingĀ support@growcod.com

10.2 By Us

We may terminate if:

  • You violate these Terms

  • You fail to pay subscription fees

  • You engage in fraudulent activities

  • Required by law or legal process

10.3 Effects of Termination

Upon termination:

  • Your access to the App will cease

  • Recurring payments will stop

  • Your data will be deleted after 30 days

  • Archived data may be retained for legal compliance

11. MODIFICATIONS

11.1 To Terms

We may modify these Terms by:

  • Posting updated Terms on our website

  • Notifying you via email or App notification

  • Continuing use after changes constitutes acceptance

11.2 To Service

We may modify, update, or discontinue:

  • App features and functionality

  • Pricing and plans

  • Integrations and services

12. DISPUTE RESOLUTION

12.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

12.2 Arbitration

Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

12.3 Class Action Waiver

You waive any right to participate in class actions or class arbitrations.

13. GENERAL PROVISIONS

13.1 Entire Agreement

These Terms constitute the entire agreement between you and GrowCOD regarding the App.

13.2 Severability

If any provision is found invalid, the remaining provisions remain in effect.

13.3 Assignment

You may not assign these Terms without our written consent. We may assign these Terms to any successor or acquirer.

13.4 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.

13.5 Notices

Notices will be sent to the email address associated with your account.

13.6 Waiver

Failure to enforce any provision is not a waiver of that provision.
